Questrade Financial Group Inc., is requesting to use your Content for various reasons (as described below). By replying to our message with the hashtag #YesQuestrade, you provide QFG permission to use your Content and agree to this Waiver and Release Form. You hereby permit, authorize, grant, and license Questrade Financial Group Inc., its subsidiaries (together “QFG”), affiliates, and its agents, officers, employees, licensees, sublicensees, contractors, successors, representatives, assigns, and third-party service providers (together with “QFG” the “QFG Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use your specified social media content (“Content”), including your username, real name, image, likeness, or other identifiable information, for use in QFG’s general publications, public relations, publicity advertising, and/or promotional materials, on any medium, platform, or in any format. QFG Parties may use, display, reproduce, distribute, transmit, create derivative works from your Content, and/or edit your Content in our sole discretion, with no obligation to you whatsoever.

You hereby agree and represent and warrant that: (i) you are solely responsible for your Content, (ii) you are the sole owner of your Content and own all rights in and to your Content and/or have obtained appropriate rights, consents, and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such Content, (iii) you are over the age of 18 years, and (iv) the QFG Parties’ use of your Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation.

To the fullest extent permitted by applicable law, you agree to waive all legal and equitable rights release, discharge, indemnify, and hold harmless the QFG and QFG Parties, from and against any and all claims, demands, actions, complaints, suits, damages, expenses, or other forms of liability that shall arise directly or indirectly out of or by reason of, or be caused by any use of your Content.

All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by QFG. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of QFG by authorizing use of your Content. By granting the QFG Parties permission to use your Content, you acknowledge that your Content is subject to QFG’s Privacy Policy (available at: https://www.questrade.com/disclosure/privacy-policy-and-security).

This form constitutes the sole and entire agreement of the parties to this form with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this form is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or other jurisdiction. This form will be governed by the laws of the Province of Ontario, Canada, exclusive of its rules governing choice of law and conflict of laws. All disputes between the Parties arising out of or in relation to this release shall be subject to the jurisdiction of the courts located in the Province of Ontario, Canada.
